2. Engagement and Scope of Work

4.2 Cooperation

The client agrees to cooperate with us in all matters relating to the services and to promptly respond to our communications.

5. Intellectual Property

5.1 Ownership

The client retains ownership of all materials and data provided to us. We retain ownership of all intellectual property rights in the methodologies, tools, and techniques used in the provision of our services.

5.2 License

The client grants us a limited, non-exclusive, non-transferable license to use their materials and data solely for the purpose of providing the services.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or confidential information disclosed during the provision of the services. This obligation survives the termination of these Terms.

7. Warranties and Disclaimers

7.1 Performance

We warrant that we will perform the services with reasonable care and skill.

7.2 Disclaimer

We do not warrant that the services will be uninterrupted or error-free, or that specific results will be achieved.

8. Limitation of Liability

To the fullest extent permitted by law, our liability for any claim arising out of or relating to these Terms or the services will be limited to the amount paid by the client for the services in the 12 months preceding the claim. We will not be liable for any indirect, incidental, consequential, or punitive damages.

9. Termination

9.1 Termination for Convenience

Either party may terminate the engagement for any reason with 30 days' written notice.

9.2 Termination for Cause

Either party may terminate the engagement immediately if the other party breaches any material provision of these Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States. Any disputes will be subject to the exclusive jurisdiction of the courts located in Columbus, Ohio.

11. Miscellaneous

11.1 Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.

11.2 Amendments

We may amend these Terms from time to time. Any changes will be posted on our website, and your continued use of the services constitutes acceptance of the amended Terms.

11.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

11.4 Waiver

No waiver of any provision of these Terms will be effective unless in writing and signed by both parties.
